To obtain the tax benefits of a pass through, Technically, limited liability companies cannot be publicly traded. However, LLCs have a flexible tax structure that allows them to be taxed as a partnership. Because of this feature, an LLC can structure itself as a publicly traded partnership and trade ownership interest on a securities exchange. Subsection (a) shall not apply to any publicly traded partnership for any taxable year if such partnership met the gross income requirements of paragraph (2) for such taxable year and each preceding taxable year beginning after December 31, 1987, during which the partnership (or any predecessor) was in existence.
